The following Terms and Conditions apply from 31 January 2024.These Terms and Conditions ("Terms") govern your use of the Readies website ("Website") and the purchase and use of the Readies token ("Readies"). Readies is a BEP-20 standard token, utilizing the Binance Smart Chain (BSC). Readies is issued and operated by Finexeble S.R.O., and its office is located at Cimburkova 916/8, Žižkov (Praha 3), 130 00 Prague, the Czech Republic.Please read these Terms carefully before accessing or using the Website and engaging in any transactions involving Readies. By accessing the Website and using Readies, you agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using the Website and engaging in any Readies transactions.

General Information1.1. The Website: Readies operates an online platform where users can purchase and use Readies for purchasing goods and services online. The Website provides information about Readies, facilitates transactions, and offers related services.1.2. Readies: Readies is a BEP-20 standard token, utilizing the Binance Smart Chain (BSC). It can be used for online transactions. It is not a legal tender and does not represent ownership of any physical or digital assets. Readies are based on blockchain technology, providing secure and decentralized transactions.1.3. Parties: These Terms create a legally binding agreement between you ("User" or "you") and Readies. The term "we," "our," or "us" refers to Readies, the operator of the Website.

User Eligibility2.1. Age Requirement: By using the Website and engaging in Readies transactions, you confirm that you are at least 18 years old or have reached the age of majority in your jurisdiction. If you are accessing the Website on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.2.2. Restricted Jurisdictions: The availability of Readies and the use of the Website may be restricted or prohibited in certain jurisdictions. It is your responsibility to ensure compliance with applicable laws and regulations in your jurisdiction. We reserve the right to refuse access to the Website and Readies services to any user at our discretion.

User Accounts and Privacy3.1. User Accounts: There are two types of user accounts:3.1.1. Simple Registration Account: Users can create a simple registration account, which provides basic functionalities. Upon registration, users will be assigned a One Time Wallet. Users with a simple registration account can make an initial purchase of Readies, with a maximum limit of 8,000 Readies. The wallet associated with this account can be used for multiple transactions until all the Readies in the wallet are used. However, once all the Readies in the wallet are exhausted, the wallet cannot be topped up or used for further transactions.3.1.2. Full KYC Account: Users can opt for a full KYC account, which provides additional features and capabilities. Upon completion of the KYC verification process, users will be assigned a Multiple Use Wallet. Users with a full KYC account can top up their wallet with Readies according to the following limits:- Maximum Daily Top-up Limit: 150,000 Readies- Maximum Monthly Top-up Limit: 300,000 Readies- Maximum Annual Top-up Limit: 600,000 Readies- Single Transaction Limit: 20,000 Readies- Maximum Wallet Holding Limit: 300,000 ReadiesPlease note that the limits mentioned above are subject to change and may be adjusted by Readies at its discretion.3.2. Privacy: We respect your privacy and handle personal information in accordance with our Privacy Policy. By using the Website and engaging in Readies transactions, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

Readies Transactions4.1. Purchasing Readies: Users can purchase Readies through the Website using approved payment methods. The price of Readies is fixed at 1 Readies = 0.1 EUR (or equivalent in other currencies). For any purchase of Readies under 100 Readies, a 5% admin fee will be charged, otherwise there will be no extra fee. We do not guarantee any fluctuation in the price of Readies. We reserve the right to modify the availability, terms, and conditions of Readies without prior notice.4.2. Gas Fees: All gas fees associated with purchasing Readies and using Readies at merchants to purchase goods and services will be borne by Readies. Gas fees are charged by the underlying Binance Smart Chain (BSC), specifically the BEP-20 standard, which powers the Readies token. Users will not be charged any gas fees for transactions related to Readies, as Readies will cover these fees on behalf of the users.4.3. Use of Readies: Readies can only be used in purchasing eligible products and services offered on the Readies merchant network. Any unused balance will be securely stored in the user’s wallet, allowing users to utilize it for future transactions. Please note that certain limits may apply to the redemption and use of Readies.4.4. Redeem Readies: Users who wish to redeem their unused Readies for cash may do so. Please note that Readies can solely be redeemed for a cash credit to a bank account held under the registered account holder's name. We do not facilitate third-party payments. A 4% admin fee will be deducted from the redeemed amount. The admin fee is subject to change and may be adjusted by Readies without prior notice.4.5. Transfer Readies: Users can transfer their Readies to another user who has a Multiple Use Wallet. For such transferals, a 4% admin fee will be deducted from the transferred amount. The admin fee is subject to change and may be adjusted by Readies without prior notice.4.6. Monthly Maintenance Fee: Should a user account have NO ACTIVITY but still hold Readies, the first 6 months after registering the account it remains FREE. Thereafter an Administrative Charge of 50 Readies per month will be applied. Any Readies transfers or top-ups will be regarded as an activity and the 6-month grace period will be activated from that new activity date. (The above fees will be deducted directly from the user account balance of Readies.)4.7. Prohibited Activities: Users must not engage in any illegal, fraudulent, or unauthorized activities when using Readies or the Website. Prohibited activities include, but are not limited to, money laundering, terrorist financing, hacking, or engaging in any activity that violates applicable laws and regulations.4.8. Account and Wallet Security: Users are solely responsible for managing their user accounts and wallets. Readies shall not be held liable for any unauthorized access, loss, or misuse of user accounts or wallets. Here are some important guidelines:4.8.1. User Responsibility: You are responsible for maintaining the confidentiality of your account login credentials, such as your username and password. Do not share this information with anyone and take appropriate measures to prevent unauthorized access to your account.4.8.2. Security Measures: It is recommended to enable two-factor authentication (2FA) for added security. Regularly update your password and ensure it is unique and strong.4.8.3. Reporting Security Issues: If you suspect any unauthorized activity or breach of your account, promptly notify Readies customer support and take necessary steps to secure your account.

Intellectual Property Rights5.1. Ownership: The content, design, and intellectual property rights on the Website are owned by or licensed to Readies. Users may not use, reproduce, modify, or distribute any content from the Website without our prior written consent.5.2. User Content: By submitting any content, such as feedback or suggestions, to us, you grant Readies a non-exclusive, worldwide, royalty-free, and perpetual license to use, reproduce, modify, and distribute the content for any purpose related to the operation of the Website and Readies.

Website Availability and Modifications6.1. Website Availability: We strive to ensure uninterrupted access to the Website; however, we do not guarantee that the Website will be available at all times. We reserve the right to modify, suspend, or terminate the Website or any of its features without prior notice.6.2. Modifications to the Terms: We reserve the right to modify or update these Terms at any time. Any changes will be effective upon posting the revised Terms on the Website. We encourage you to review the Terms regularly.

Disclaimer of Warranty and Liability7.1. Readies and Website: Readies and the Website are provided on an "as is" and "as available" basis. We make no warranties or representations regarding the functionality, security, or availability of Readies or the Website. Users engage in Readies transactions at their own risk.7.2. Dispute on Purchases: Should you have any dispute about purchases you have made with your Readies, you should settle these with the relevant merchant. We are not responsible for the quality, safety, legality or any other aspect of any goods or services purchased with Readies. Remember that once you have used you Readies to make a purchase, we cannot stop that transaction.7.3. Limitation of Liability: 7.3.1. To the extent permitted by applicable law, Readies and its affiliates, directors, officers, employees, or agents shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of Readies or the Website.7.3.2. If you experience a loss directly caused by us, we will only be liable for the amount equivalent to the balance of your Readies and not for any other losses (such as reputation damage). In the event of an incorrectly executed payment due to our error, we will promptly, at our sole discretion, either (i) provide you with new Readies, or (ii) transfer the payment amount, including deducted fees, to your bank account. We may require proof of purchase, identification, and bank details as necessary. However, this shall not apply if: (i) you have acted fraudulently or compromised the security of your Readies through intent or negligence, or (ii) you fail to dispute and report the incorrectly executed transaction to us within 13 months from the transaction date.7.3.3. We will make reasonable efforts to assist you in tracing and recovering any incorrect or misdirected payments. However, we are not liable for disruptions or impairments in our service or intermediary services beyond our control, provided they result from abnormal and unforeseeable circumstances. We are not responsible for indirect or consequential losses, including loss of profit, business, or reputation. We are not liable for losses arising from our compliance with legal and regulatory requirements.7.3.4. These Terms and Conditions do not exclude liability for death or personal injury due to negligence, fraud, fraudulent misrepresentation, or statutory liabilities that cannot be excluded by agreement. We are not responsible for assessing or paying any taxes, duties, or charges related to your use of Readies or services described in these Terms and Conditions. We are not liable for any refusal by a merchant to accept Readies transactions or failure to cancel authorizations. We are not liable for losses caused by acts of God, riots, war, natural disasters, or other uncontrollable occurrences. We cannot guarantee the permanent availability of the Readies system, including the systems of distribution outlets or merchants. The Financial Services Compensation Scheme does not apply.

Data Protection8.1. You explicitly consent to us accessing, processing, and retaining any information you provide to us, for the purposes of providing payment services to you. This does not affect our respective rights and obligations under data protection legislation. You may withdraw this consent by cancelling your Readies. If you withdraw consent in this way, we will cease using your data for this purpose, but may continue to process your data for other purposes where we have other lawful grounds to do so, such as where we are legally required to keep records of transactions. Personal data is collected when you provide personal data to our Website. We use cookies for the purpose of system protection and protection against misuse. You must accept these cookies in order to use our Website. All personal data is handled in accordance with our Privacy Policy.

Termination9.1. Termination by User: You may terminate your use of the Website at any time by discontinuing its use and closing your account, if applicable.9.2. Termination by Readies: We may suspend or terminate your access to the Website or Readies services at our discretion without prior notice if we suspect you violate these Terms or engage in any prohibited activities. In such case, you may receive no compensation.

Governing Law10.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the laws of the Czech Republic. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Czech Republic. Communications and notifications shall be made in English.
